Founding Member Agreement

Founding Member Programme, Terms
This Founding Member Agreement (“Agreement”) is between My Cuppa Coffee Pty Ltd (“MCC”, “we”, “us”) and the café business identified in the registration form (“you”, “your café”, “Founding Member”).
This Agreement supplements the Café Owner Terms of Service and our Privacy Policy, which also apply to your use of the Platform. In the event of a conflict, this Agreement takes precedence during the Promotional Period.
1. The offer
1.1 What you receive
As a Founding Member, you receive:
- Access to Growth tier features ($149/month value) at no cost for 3 consecutive months from your activation date (the “Promotional Period”)
- A “Founding Member” badge displayed on your café listing for the life of any paid subscription following the Promotional Period
- Priority onboarding support during setup
Growth tier features include: advanced loyalty programmes (unlimited programmes, up to 1,000 members), advanced analytics, customer personality insights, review responses, basic campaigns (birthday, win-back, and 2 custom per month), push notifications (4 per month), coalition network access, and database export. 1.2 Eligibility
The Founding Member programme is limited to the first 50 cafés accepted by MCC. Acceptance is at MCC’s discretion. Priority is given to independent cafés and food businesses operating in the Brisbane metropolitan area.
1.3 Activation date
Your Promotional Period begins on the date your café listing is verified and Growth tier access is activated (“Activation Date”). You will receive email confirmation of your Activation Date.
2. What we ask of you
During the Promotional Period, you agree to:
2.1 Set up your café
- Complete your café listing with accurate business information, hours, photos, and amenities within 14 days of activation
- Set up at least one loyalty programme within 30 days of activation
- Keep your listing information current throughout the Promotional Period
2.2 Display MCC materials
- Display the MCC QR code and loyalty materials provided to you in a visible location within your café
- Materials will be provided at no cost to you
2.3 Participate in launch marketing
You grant MCC permission to:
- Use your café name, logo, and photographs of your café’s exterior and interior in MCC marketing materials, website, social media, and press communications
- List your café as a “Founding Member” in launch announcements
- Feature your café in case studies, blog posts, or testimonials (with your review of the specific content before publication)
This marketing permission extends beyond the Promotional Period for materials created during it, unless you withdraw permission in writing.
2.4 Provide feedback
- Respond to occasional feedback requests about the Platform (no more than one per month during the Promotional Period)
- Report bugs or issues you encounter
3. After the Promotional Period
3.1 Your options
At the end of your 3-month Promotional Period, you may:
Option A: Subscribe to any paid tier (Starter, Growth, Premium, or Enterprise) at the standard published rate. Your Founding Member badge will remain on your listing for the life of your paid subscription.
Option B: Revert to the Free tier. You will retain your basic listing but lose access to Growth tier features including loyalty programmes, analytics, campaigns, and customer insights. Your Founding Member badge will be removed.
3.2 No automatic billing
You will NOT be automatically charged at the end of the Promotional Period. We will send you a reminder email 14 days before and 7 days before your Promotional Period ends, inviting you to choose a subscription tier.
If you take no action by the end of the Promotional Period, your account will revert to the Free tier.
3.3 Loyalty programme transition
If you revert to the Free tier: your active loyalty programmes will be frozen (no new stamps can be collected); customers with existing stamp progress will have 30 days to redeem completed rewards; your programme configuration is saved and will reactivate if you later subscribe to a paid tier.
4. Founding Member badge
The Founding Member badge is a recognition of your early support. It is displayed on your listing and visible to Cuppa Lovers. The badge:
- Remains on your listing for the life of any paid subscription following the Promotional Period
- Is removed if you revert to and remain on the Free tier
- Does not entitle you to pricing discounts, additional features, or special treatment beyond what is described in this Agreement
- Cannot be transferred to another café or business
5. Termination
5.1 By you
You may leave the Founding Member programme at any time by cancelling your account or notifying us. If you leave during the Promotional Period, you forfeit the remainder of the free Growth tier access.
5.2 By MCC
MCC may remove a Founding Member from the programme for: material breach of this Agreement or the Café Owner Terms of Service; failure to complete café setup within the required timeframes; providing materially inaccurate business information; or conduct that harms MCC’s reputation or other users.
We will provide 14 days’ written notice before removal, except in cases of fraud or serious misconduct.
5.3 Programme modification
MCC may modify or discontinue the Founding Member programme for future applicants at any time. Existing Founding Members will receive their full 3-month Promotional Period regardless of programme changes.
6. General provisions
Governing law: Queensland, Australia. Entire agreement: This Agreement, together with the Café Owner Terms of Service and Privacy Policy, constitutes the entire agreement regarding the Founding Member programme. No employment or partnership: This Agreement does not create an employment, agency, joint venture, or partnership relationship between you and MCC. Notices: Written notices should be sent to the email address associated with your MCC account (to you) or to mycuppacoffeeau@gmail.com (to us).
7. Acceptance
By registering as a Founding Member, you confirm that you:
- Have read and agree to this Founding Member Agreement
- Have read and agree to the Café Owner Terms of Service
- Have read and understand the Privacy Policy
- Are authorised to enter into this Agreement on behalf of your café business
